(hereinafter called ‘AIA’) in compliance with the Airport Development Agreement (ADA) as ratified by Law 2338/1995 (Government Gazette A'202/14.09.95) is inviting companies, groups of companies or consortia to express their interest for the provision of Security Services at Athens International Airport ‘Eleftherios Venizelos’, as per Section II.2.1.

The Expression of Interest statement (cover letter signed by the representative(s) of each company) together with all documents requested under this Contract Notice must be submitted in eight (8) copies (one of which must be in hard copy and clearly marked as ‘Original’ and initialled whilst the remaining seven (7) shall be in soft copies on CDs) in a sealed envelope, carrying the indication: ‘Expression of Interest for the Provision of Security Services for Lot(s) …..’, and is to be sent to: Athens International Airport S.A., Administration Building (17), Procurement Department, for the attention of Mrs E. Mouchti, GR-Spata 190 19, Greece. The Expression of Interest must be submitted in accordance with the time schedule stated under section IV.3.4 of this Contract Notice, i.e. 2.6.2014 at 13:00, Greek local time. Following the pre-selection process, the short-listed applicants will receive the tender documents from AIA and will be invited to submit their proposal. Applicants may be requested to supply additional information. AIA reserves the following rights: — not to award more than one Lot to the same bidder; — not to proceed with the contract at any stage of the tender process. The contract will be subject to Greek Law.

The scope of the access control and hold baggage screening services includes the following elements:

— Guarding of static posts and access points.

— Control of access at checkpoints leading to the security restricted areas, to airport installations and other controlled areas.

— Vehicular patrolling the airside including the internal perimeter roads, apron service roads, aircraft parking areas, etc.

— Foot patrolling the terminals and other interior operational areas including gate lounges, arrival – departure corridors, etc.

— Performing screening controls to persons and physical inspection to vehicles requiring access to airport's security restricted areas, according to the relevant European and National legislation.

— Screening controls of all departing and transfer baggage through a multi-level Explosive Detection System and/or by use of conventional X-RAYS.

— Staffing of the Hold Baggage Screening workstations and efficient usage of the installed relevant equipment.

— Foot patrolling the terminals across the border line of Critical Parts, so that any intrusion be immediately reported and cured.

More details will be included in the tender documents, which will be dispatched to the short-listed applicants.

The scope of the intra-schengen passenger and hand baggage screening and critical parts operation services includes the following elements:

— Staffing the passenger screening points for the Intra Schengen flights, according to flight schedule and the principles of National Civil Aviation Security Regulation with regard to staffing passengers' and hand baggage screening points.

— Performing screening controls of passengers / airport's employees and their hand baggage by the usage of the installed security technology (X-RAY machines, Walk-Through Metal Detectors, Explosive Trace Detectors, Hand Held Metal Detectors, Shoe Analyzing Metal Detectors).

— Performing hand searches to passengers / airport employees bodies, according to Standards set by the European and National legislation.

— Performing hand searches to hand baggage contents according to Standards set by the European and National legislation.

— Performing full physical searches to passengers and hand baggage in the specific closed for privacy searching booths, located at the screening points, according to relevant legislation.

— Performing screening controls to special categories of passengers according to Standards set by the European and National legislation (disabled passengers, passengers using wheelchairs, people under police custody, unruly passengers, etc.).

— Staffing the new checkpoints created within airport premises for critical parts operation, according to Airport's Security Programme.

— Performing screening controls of all airport employees, aircrews and any other person, as well as all items that may be holding or carrying, prior being permitted entrance into the established airport's Critical Parts.

— Performing screening controls to airport employees and all items that may be holding or carrying, prior being permitted entrance into critical parts through baggage halls.

— Performing physical searches to all vehicles requiring entrance into Critical Parts via apron service roads, according to National and European legislation.

Applicants are entitled to participate in the said tender only once and under one exclusive capacity only (i.e. either individually as sole participant or as member of a consortium or as member of group of companies). In any other case AIA retains the right to disqualify the applicant.

Documents required under this section should be submitted by all applicants (in case of group of companies or consortium by each individual member).

1. Company's profile and organizational scheme of applicant(s), link with parent company and/or other group of consortium members (if applicable).

2. Certified copies of their constitutional documents (e.g. articles of incorporation/ signing and administrative authorities) in their latest valid edition.

3. Documentary proof of its decision to participate from its Board of Directors or the General Assembly or of any other duly decisive company body.

4. Proof of registration, as prescribed in their country of establishment, in one of the professional or trade registers, or provide a declaration or certificate to that effect.

5. Valid certificates (original or duly certified copies) issued by the competent authorities in the country in which the applicant is established or solemn declaration made before a duly administrative authority or notary, proving that:

a. the applicant has fulfilled its obligations relating to the payment of social security contributions and the payment of taxes in accordance with the legal provisions of the country in which it is established;

b. the applicant is not in and has not had commenced against it any procedure seeking to place it in bankruptcy, liquidation, suspension of operations, under Article 99 of L 3588/ 2007, obligatory administration, receivership, or any other equivalent situation in accordance with the legal provisions of the country in which it is established;

c. the persons that legally bind the applicant have not been convicted in the last decade for illegal trade, human trafficking, murder, fraud, robbery, forgery, theft, breach of provisions which concern the customs and preservation of national currency legislation, as well as for attempting the above mentioned crimes.

If an applicant is connected with any of the shareholders of AIA, or with any person controlled by AIA, as defined and within the meaning of the ADA (Article 20.3), it should be clearly stated in their submitted documents.

Companies that are affiliated to the applicant as defined in article 42e par 5 of law 2190/1920 are not entitled to participate in the tender under any capacity.

In case of group of companies or consortium, the applicants should also provide:

— A binding consortium agreement, including the names of the partners and the extent of responsibility of each of the consortium parties;

— Name(s) of the person or persons entitled to sign, who act(s) on behalf of the consortium or group of companies by virtue of a power of attorney;

— The proposed division of responsibilities and corporate relationships between the members. In case that an alteration either in the composition or in the respective percentages or division of responsibilities among the members of a group of companies or consortium occurs, then AIA retains the right to disqualify the applicant;

— A certified undertaking that each consortium or group of companies' member will be jointly and severally responsible for the fulfilment of the applicant's participation arising from their participation in the tender.

In case of reliance to third parties, for financial ability and/or technical and/or professional ability in accordance with the provisions of Article 54 (5) and (6) of Directive 2004/17/EC, it must be adequately evidenced to AIA that all necessary resources shall be available from said entities to the applicants in order for the latter to fully comply with the requirements of the tender. Such evidence shall include the submission of the following documents:

— Solemn declaration of the applicant (i.e. solemn declaration of the legal representative of an entity that participates in the tender or in case of consortium or group of companies solemn declaration by the legal representative of the consortium or of the group of companies) by virtue of which it shall notify and declare its intent to call upon the resources of a third party specifying the invoked resources and submitting all the following documents:

a. Decision lawfully taken by the competent corporate body (e.g. board of directors, general assembly or any other competent corporate body depending on the corporate form) of the entity that shall provide to the applicant all necessary resources of whatever form (e.g. financial, technical etc.), and by virtue of which shall approve and shall describe in detail, all the financial, technical or any other means or resources that shall be made available to the applicant during the term of the agreement including any extension thereof. In the same decision shall be nominated the representative of that entity which will be empowered to sign all relevant documents with respect to the tender;

b. Lawfully concluded agreement between the applicant and the entity that shall provide to the applicant all necessary resources of whatever form (e.g. financial, technical etc.), by virtue of which the two parties shall commonly agree on the means and resources that shall be made available by the entity to the applicant for the whole term of the agreement including thereof and further specifying in detail not only the means and the resources that shall be made available to the applicant but also the method and the manner that said means and resources shall be made available;

c. Solemn declaration duly signed by the legal representative of the entity that shall provide to the applicant all necessary resources of whatever form (e.g. financial, technical etc.), by virtue of which it shall be declared that:

i. the relevant resources shall be made available to the applicant for the whole term including any extensions, as those will be provided in the tender documents;

ii. the entity has full knowledge of the ADA to which it shall strictly comply during the term;

iii. the entity does not retain any right demand or claim whatsoever and of any kind for compensation or indemnification from AIA.

In view of the above, the applicant shall undertake and ensure that the entity to which it shall rely on its financial and/ or technical capacity shall receive full knowledge of the agreement document provisions with the exception of those relating to the financial compensation of the Contractor, should the applicant be short-listed.

Further to the above and for the avoidance of any doubt, the entity that shall provide to the applicant all necessary resources of whatever form (e.g. financial, technical etc.), must also evidence to AIA the required by this Contract Notice-Utilities items 1, 2, 3, 4 and 5 of this section III.2.1, personal situation of economic operators. In case that the applicant shall rely on the technical resources and capacity of the entity, apart from the above, said entity must also evidence to AIA its economic and financial ability and its technical capacity (i.e. experience) by submitting all required information and documents that are included in sections III.2.2 and III.2.3 of this Contract Notice-Utilities.

The reliance by applicants to the capacity of other entities does not imply, reduce or otherwise exclude the liability and responsibility of the applicant in case that the applicant is awarded the relevant contract.

In case that the applicant changes the entity or the entities upon its capacities it relies, AIA retains the right to disqualify the applicant, if such alteration takes place at any stage of the tender, or to immediately terminate the Agreement in case that the applicant has been awarded with the relevant contract.

An entity which makes available to the applicant its means and resources of any kind as provided herein above, is not allowed to make also available said or other means and resources to other applicants and/ or to participate in the tender under any form or under any other capacity including that of sub-contractor of another applicant.

— Applicants, or their subcontractor(s), will be excluded from the tender if they have been guilty of grave professional misconduct, in case that they have proceeded in actions or omissions inter allia capable to damage the reputation, the clientele, the activities or the future of AIA, and/or capable to damage the honour or reputation of AIA's officials and employees, by spreading or supporting, inter allia, false news or purporting to defame or to insult AIA or its employees, or has been issued against such participant or subcontractor a court decision as a result of a litigation of any kind with AIA, or in any other action or omission, which as per business ethics, business common practices and according to good faith constitutes a professional misconduct.

Οικονομική και χρηματοοικονομική κατάσταση:

Proof must be provided of the applicants (in case of group of companies or consortium by each individual member):

a. financial ability to undertake the contract in relation to anticipated contract costs by the provision of duly certified audited accounts for each of the previous three (3) financial years, including the applicant's overall turnover and separately, if applicable, the turnover in respect of the scope to which this tender relates.

b. credit worthiness by submitting Bank references.

Τεχνική και επαγγελματική ικανότητα:

Proof must be provided by applicants separately for each Lot in which they have expressed their interest, as follows:

For each Lot:

1. Experience in projects of similar scope and size at international airports during the last five (5) years. For each international airport the following information must be provided:

1.a Description of scope of project including client, services offered, budget, peak week flight schedule, and references (names, addresses); Weight Factor: 30 %.

1.b Form of participation in the projects (member/leader of consortium, description of role undertaken by the applicant and other members of the consortium); weight factor: 10 %.

1.c Duration of projects (initial duration, extensions); Weight Factor: 10 %.

1.d. Resources allocated by the applicant (manpower and qualification of staff as well as technical resources allocated); Weight Factor: 10 %.

2. Technical and Operational expertise. More specifically:

2.a Methodology of applicants' major project including details on: Management practices, operational structure, shift and work schedule, monitoring method, recruitment process and training; Weight Factor: 20 %.

2.b Qualifications of key personnel (profile and expertise of key staff, job duties and responsibilities); Weight Factor: 15 %.

3. Quality Management:

Quality management and monitoring system including any certificates of registration issued by an accredited certification body and/or details of any other quality management standards employee, assessment of service quality, health & safety and environmental policy; Weight Factor: 5 %.

— Applicants will be assessed and pre-selected on the basis of equal opportunities in respect to their professional credentials and reliability as well as their economic and financial capacity on a pass or fail basis for each of the Lots in which they have expressed their interest.

Applicant's technical capacity to fulfil the requirements of the scope of services for each of the specific Lots they have expressed their interest will be evaluated on the criteria under section III.2.3. The threshold for pre-selection qualification for each Lot is set at 60 %.

Εκτέλεση της σύμβασης
Απαιτούμενες καταθέσεις και εγγυήσεις:

The short-listed applicants will be asked to submit, with their proposals, a Participation Bond, to be returned following award of the contract in accordance with the terms and conditions of the tender documents. The awarded contractors will then submit a Performance Bond upon signing of the contracts. Details and prerequisites will be provided for in the tender documents.

The short-listed applicants that participate in the tender as a group of companies or consortium may be required to execute a binding consortium consolidation deed or to form a capital company, prior to contract award, with joint and several liability. More details will be provided for in the tender documents.

Η εκτέλεση της υπηρεσίας προορίζεται για συγκεκριμένο επάγγελμα:

Contractors shall have to abide by the stipulations of the relevant local legislation, in particular Article 12, Part A' of ‘ΕΚΑΠΑ’, Government Gazette (ΦΕΚ) 1485 B' / 17-06-2011. AIA shall not award the Services to companies or groups of companies or consortia that do not fulfil the above mentioned requirements.

Participants may lodge an appeal before the Contracting Entity, by specifying the legal and real causes that justify their application within a deadline of ten (10) days, after taking notice in any way whatsoever of the illegal action or omission in the course of the tender. The appeal is communicated, care of the petitioner, to any entity affected by any total or partial acceptance of the appeal. No exercise of appeal versus an act, which accepts in whole or in part an appeal by another person, is required. The Contracting Entity is obliged to decide justifiably, within a deadline of fifteen (15) days from the exercise of the appeal, and, if it renders the appeal valid, it takes the appropriate measures.

If the appeal is rejected, or no decision is taken within the deadline, the appeal is deemed to have been rejected and a petition for injunction may be lodged before the competent Courts as per provisions of Law 3886/2010.
